Subject of the agreement
This agreement applies between you (hereinafter the “Client”) and Bernhard Marquart GmbH & Co. KG(hereinafter “Marquart”) and covers all information, technical drawings, CAD models, specifications, quantity data and other documents that you submit to Marquart in the course of an inquiry.
Marquart undertakes to treat this information confidentially and to use it exclusively for reviewing, processing and executing the inquiry.
Duty of confidentiality
Marquart undertakes to keep your confidential information strictly secret and not to disclose it to third parties. This includes in particular:
- Technical drawings, 3D models, bills of materials and specifications
- Quantity data, prices, delivery times and other commercial information
- Details of end products, applications or other business partners
- All other data submitted in the course of the inquiry
Disclosure to group companies
Marquart is part of the my-precision group. Within the group, confidential information may be shared with the sister companies Haas Präzisionstechnik GmbH and Martin & Tschopp GmbH to the extent required for the joint processing of your inquiry. The sister companies are bound by the same confidentiality obligations.
Exceptions and end of the obligation
The duty of confidentiality does not cover information that (a) is already publicly available, (b) was already known to Marquart before it was submitted, (c) Marquart developed independently and without using your information, or (d) must be disclosed pursuant to a statutory or regulatory order.
The duty of confidentiality continues indefinitely, including after the end of the business relationship.
Retention and deletion
Marquart stores your submitted files only for as long as is necessary to process your inquiry and to comply with statutory retention periods. Upon your written request, we will delete your files at any time – unless this conflicts with mandatory legal requirements.
Jurisdiction and governing law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Stuttgart.
This agreement takes effect automatically as soon as you submit documents via the quote request form on this website and tick the NDA checkbox. No separate signature is required.
